1. Acceptance of Terms, Clickwrap Consent & Eligibility

Welcome to Unlocked AI (“Unlocked AI,” “we,” “us,” or “our”), accessible at https://unlockedai.net and its related web applications, APIs, and services (collectively, the “Service”). By checking the agreement box at sign-in, creating an account, purchasing any credit pass or membership, or accessing or using the Service, you expressly agree to be bound by these Terms of Service (“Terms”) and our Privacy Policy, including our practices regarding the recording, logging, retention, and authorized safety review of electronic chat communications. If you do not agree to these Terms, you must not access or use the Service.

Age Requirement: You must be at least eighteen (18) years of age (or the age of legal majority in your jurisdiction) to create an account and purchase credits or memberships, or at least thirteen (13) years of age (or sixteen (16) in the European Economic Area and United Kingdom) with the verifiable consent and supervision of a parent or legal guardian who agrees to be bound by these Terms.

2. Description of the Service

Unlocked AI is a multi-model artificial intelligence workspace that enables users to interact with third-party large language models (LLMs), multimodal vision models, reasoning models, and image generation models (including, without limitation, models developed by Anthropic, OpenAI, Google, DeepSeek, Meta, and Black Forest Labs) using a unified credit system.

Unlocked AI acts as an independent software platform routing inference requests through upstream API providers (including OpenRouter and direct model providers). Unlocked AI is not affiliated with, endorsed by, or sponsored by OpenAI, Anthropic, Google, Meta, DeepSeek, or Black Forest Labs. All third-party model names and trademarks are the property of their respective owners.

3. Account Registration, Security & Starter Credits

3.1 Authentication: To access the chat studio and purchase credits, you must sign in using a verified email address via Google OAuth or passwordless Email Magic Link (powered by Google Firebase Authentication). You are responsible for maintaining the confidentiality and security of your email account and any device signed into the Service.

3.2 Complimentary Starter Credits: New accounts with a verified email address may receive a one-time allocation of complimentary starter credits (currently 20 credits) to evaluate the Service. Starter credits have no cash value, are non-transferable, and may be modified or discontinued by Unlocked AI at any time.

3.3 Prohibition on Multi-Accounting & Credit Farming: Each individual may maintain only one (1) free starter-credit account. Creating multiple accounts, using disposable/alias email addresses, scripts, bots, or automated tools to obtain multiple allocations of complimentary starter credits (“credit farming”) is a material breach of these Terms and will result in immediate permanent suspension of all associated accounts and forfeiture of all balances without notice.

4. Credits, One-Time Passes, Memberships & Billing

All payments are processed securely by our third-party payment processor, Stripe, Inc. (“Stripe”). By making a purchase, you authorize Stripe and Unlocked AI to charge your selected payment method for the listed amount plus any applicable taxes.

4.1 One-Time Credit Passes: Unlocked AI offers non-recurring one-time credit passes (such as the $5 Starter Pass for 500 credits, $10 Pro Pass for 1,200 credits, and $25 Power Pass for 3,500 credits). One-time passes do not automatically renew. Credits purchased via one-time passes (“Permanent Pass Credits”) do not expire for as long as your account remains in compliance with these Terms and the Service remains commercially operational.

4.2 Optional All-Access Monthly Membership: Unlocked AI also offers an optional recurring monthly subscription (currently $19.99 USD/month) that provides an allowance of 2,500 monthly credits (“Membership Credits”) at the start of each monthly billing cycle:

• No Rollover of Monthly Membership Credits: Membership Credits reset to 2,500 upon each successful monthly renewal. Unused Membership Credits do not carry over or accumulate from month to month.
• Order of Credit Consumption: If your account holds both Membership Credits and Permanent Pass Credits, the Service automatically deducts from your expiring Membership Credits first before deducting from your non-expiring Permanent Pass Credits.
• Recurring Billing & Cancellation: By starting an All-Access Membership, you authorize recurring monthly charges at the then-current subscription rate until you cancel. You may cancel your membership at any time via the “Member” button in the navigation bar (which opens the Stripe Customer Billing Portal) or by contacting us at support@unlockedai.net. Upon cancellation, you will not be charged for subsequent billing cycles, and your Permanent Pass Credits remain unaffected.

4.3 Credit Deduction, Reasoning Effort & Dynamic Cost Protection: Each AI prompt or image generation deducts credits according to the model tier and configuration selected at the time of submission (for example, fast models at 1 credit, reasoning models at 2–5 credits, frontier models at 5–12 credits depending on Low/Medium/High reasoning effort, and image generation models at 5–15 credits). If you type an image-generation prompt while using a text model, the interface may automatically route the request to a companion image model (unless you select “Reply with text only”) and deduct the corresponding image credit cost. In rare instances where a single prompt generates embedded images or incurs extraordinary upstream token/compute costs exceeding the base tier threshold, the Service reserves the right to deduct additional credits up to your available credit balance to cover actual upstream inference usage.

4.4 Failed Requests & Client Disconnections: Credits are reserved atomically when a request is submitted. If an upstream AI provider is unreachable, returns an HTTP error, or produces an empty response, the reserved credits are automatically refunded to your account balance. However, if you manually stop a streaming response mid-generation or close your browser after the upstream provider has already begun generating tokens, credits for that turn will not be refunded because upstream compute costs have already been incurred.

4.5 Refund Policy & Nature of Credits: Because digital AI credits are immediately provisioned and consumable upon purchase, all sales of Credit Passes and Monthly Memberships are final and non-refundable, except where a refund is expressly required by applicable consumer protection law or in the event of a verified duplicate charge or billing error. Credits are licensed solely for use within the Service, have no monetary or cash value, cannot be redeemed for cash, and may not be sold, traded, or transferred between users.

5. Chat Logging, Retention, Safety Moderation & Electronic Communications Consent

5.1 Consent to Recording, Logging & Transmission: By using the Service, you acknowledge and expressly consent (including for purposes of applicable federal and state wiretapping and electronic communications privacy laws, such as the California Invasion of Privacy Act (CIPA) and the Electronic Communications Privacy Act (ECPA)) that Unlocked AI and its third-party infrastructure and AI inference providers (including Google Firebase and OpenRouter) record, log, transmit, process, and store your Inputs, attachments, and AI Outputs in real time and in storage.

5.2 Authorized Administrative Access & Purpose Limitation: You acknowledge and agree that authorized Unlocked AI administrators and safety personnel have the technical ability and legal right to access and review stored chat transcripts, prompts, outputs, and usage logs solely for legitimate operational, safety, and compliance purposes, including:

• Investigating flagged, reported, or suspected violations of our Acceptable Use Policy, illegal conduct, Child Sexual Abuse Material (CSAM), self-harm, cyberattacks, or credit/platform abuse;
• Debugging technical issues, failed generations, or investigating billing and credit-refund inquiries;
• Ensuring compliance with the safety and abuse-prevention requirements of our upstream AI model providers; and
• Responding to valid legal process, court orders, or mandatory law-enforcement reporting obligations.

5.3 Chat Retention & Deletion Window: Active conversations are stored in your account so you can access your chat history across devices. When you delete a chat thread in the Chat Sidebar, it is immediately removed from your active account view. However, residual message logs and safety/telemetry records may be retained in backend storage for a safety and debugging retention period of up to ninety (90) days (or longer if legally required to preserve evidence of an investigation or legal claim) before being permanently purged or anonymized.

5.4 Mandatory Reporting of Illegal Content (18 U.S.C. § 2258A / NCMEC): Unlocked AI maintains a strict zero-tolerance policy against Child Sexual Abuse Material (CSAM) and Child Sexual Exploitation and Abuse (CSAE). If Unlocked AI obtains actual knowledge of apparent CSAM/CSAE or credible threats of imminent severe bodily harm or terrorism on the Service, we will immediately ban the offending account, preserve the relevant chat logs and account metadata as evidence, and report the matter to the National Center for Missing & Exploited Children (NCMEC) CyberTipline and/or appropriate law enforcement agencies as required by federal and applicable law.

6. User Content, Inputs, Outputs & Intellectual Property

6.1 Your Inputs and Outputs: You may submit text prompts, code snippets, images, and PDF/text attachments (“Inputs”) to the Service and receive text, code, or image responses generated by AI models (“Outputs”). As between you and Unlocked AI, and to the extent permitted by applicable law and the terms of the underlying AI model provider, you retain all ownership rights in your Inputs, and Unlocked AI hereby assigns to you all right, title, and interest (if any) that Unlocked AI may hold in the Outputs generated for you.

6.2 Similarity of Outputs: Due to the probabilistic nature of machine learning and artificial intelligence, Outputs may not be unique across users. Other users submitting similar prompts may receive identical or closely similar Outputs. Your rights in your Outputs do not extend to outputs independently generated for other users.

6.3 License to Operate & Secure the Service: You grant Unlocked AI and its subprocessors a worldwide, non-exclusive, royalty-free license to host, store, transmit, process, review (for the safety and support purposes described in Section 5), and display your Inputs and Outputs solely to the extent necessary to provide, secure, debug, maintain, and enforce the Service. Unlocked AI does not sell your Inputs or Outputs to third-party data brokers or train proprietary foundation models on your private chats.

6.4 Unlocked AI Platform IP: The Service, including its source code, user interface, graphics, branding, logos, compilation of models, and documentation, is owned by Unlocked AI and protected by copyright, trademark, and other intellectual property laws.

7. Acceptable Use Policy (AUP)

You agree not to use the Service—or permit any third party to use your account—to generate, upload, transmit, or facilitate any content or activity that:

• Violates Law: Violates any applicable local, state, national, or international law or regulation.
• Child Exploitation & Harm: Depicts, solicits, promotes, or relates in any way to Child Sexual Abuse Material (CSAM) or Child Sexual Exploitation and Abuse (CSAE), including fictional, illustrated, roleplay, or AI-generated depictions of minors.
• Non-Consensual Intimate Imagery & Deepfakes: Generates sexually explicit content, non-consensual intimate imagery (NCII), or deceptive impersonations/deepfakes of real individuals without their express consent.
• Violence, Self-Harm & Illegal Weapons: Encourages suicide or self-harm, incites violence, terrorism, or provides actionable instructions for creating CBRN (chemical, biological, radiological, or nuclear) materials, explosives, or illegal weapons.
• Cyberattacks & Platform Abuse: Generates malware, ransomware, exploit payloads, phishing campaigns, or attempts to probe, scan, overload, scrape, or bypass the rate limits, prompt length limits (12,000 characters), attachment limits, or security controls of Unlocked AI or its upstream providers.
• Infringement & Sensitive PII Violations: Infringes the copyright, trademark, trade secret, or privacy rights of any third party, or uploads unlawful personal data or protected health information (HIPAA/PHI).
• Upstream Provider Policies: Violates the usage policies of the underlying AI model providers (Anthropic, OpenAI, Google, Meta, DeepSeek, Black Forest Labs, and OpenRouter).

8. AI Disclaimers & No Professional Advice

8.1 Accuracy & “Hallucinations”: Artificial intelligence and machine learning models are probabilistic systems that frequently generate plausible-sounding but factually incorrect, incomplete, outdated, or biased information (“hallucinations”). Unlocked AI makes no representations or warranties regarding the accuracy, reliability, completeness, legality, or safety of any Output.

8.2 No Medical, Legal, or Financial Advice: Outputs generated by the Service are for informational, creative, and educational purposes only and do not constitute professional medical, legal, financial, investment, tax, or engineering advice. Always consult a qualified licensed professional before making decisions that could affect your health, legal rights, or finances.

8.3 Human Review Required: You are solely responsible for reviewing, testing, and verifying any Output (including source code, scripts, or factual claims) before executing, publishing, or relying upon it.

9. Model Availability & Service Modifications

Because Unlocked AI relies on third-party AI model providers and API routing networks, the availability, speed, token limits, and credit cost of specific models may change at any time without prior notice. Unlocked AI reserves the right to add, update, deprecate, disable, or adjust the credit cost of any AI model, or to place the Service into temporary maintenance mode, at our sole discretion.

10. Termination & Account Suspension

You may stop using the Service at any time. Unlocked AI reserves the right to suspend, restrict, or permanently ban your account immediately and without prior notice if we reasonably determine that you have violated these Terms (including our Acceptable Use Policy or prohibition on credit farming), initiated fraudulent payment disputes/chargebacks, or posed a security, legal, or financial risk to the Service. Upon termination for cause, your right to use the Service ceases immediately and any remaining credit balance is forfeited without refund.

11. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE, CREDITS, AND ALL AI OUTPUTS ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, OR UNINTERRUPTED, ERROR-FREE OPERATION.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL UNLOCKED AI, ITS OWNER, OPERATORS, AFFILIATES, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS INTERRUPTION ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE OR ANY AI OUTPUT, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL UNLOCKED AI’S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE EXCEED THE GREATER OF (A) THE TOTAL AMOUNT PAID BY YOU TO UNLOCKED AI IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) FIFTY U.S. DOLLARS ($50.00 USD).

13. Indemnification

You agree to defend, indemnify, and hold harmless Unlocked AI, its operators, and service providers from and against any claims, liabilities, damages, judgments, awards, losses, costs, or expenses (including reasonable attorneys’ fees) arising out of or relating to your violation of these Terms, your Inputs or use of Outputs, or your infringement of any intellectual property or other right of any person or entity.

14. Governing Law & Dispute Resolution

These Terms and any dispute arising out of or related to the Service shall be governed by and construed in accordance with the laws of the United States and the State of Delaware, without regard to its conflict of law principles. Before filing any formal legal claim, you agree to first contact us at support@unlockedai.net and provide a written description of the issue and forty-five (45) days to resolve the dispute informally.

15. Changes to These Terms & Contact Information

We may update these Terms from time to time to reflect new models, features, pricing structures, or legal requirements. When we make changes, we will update the “Last Updated” date at the top of this page. Your continued use of the Service after updated Terms become effective constitutes your acceptance of the revised Terms.
